Job Summary
Socure's legal team is seeking a Commercial Counsel. Reporting to our Head of Commercial Legal or a Senior Legal Counsel, you will have a chance to help shape the company's legal function, build processes and policies, and partner with Sales, Finance, Product, and Engineering teams, as well as other attorneys. Job Responsibilities
Advise on a broad range of commercial matters, serving as legal partner to Sales, Customer Success, Finance,
Security, and Product on deal structure, contract negotiations, risk, and compliance
Review, draft, negotiate, and interpret a wide range of technology and commercial contracts, including SaaS agreements, partner/reseller agreements, NDAs, evaluation agreements, and vendor contracts
Independently identify and resolve legal and regulatory risks related to IP, licensing, data use, privacy, and compliance in commercial contracts
Become an expert on Socure's products and business models, and help bring new offerings to market
Identify and advise on risk, and offer creative, pragmatic risk-mitigation solutions
Prepare, maintain, and improve template agreements, playbooks, and operational guidance to help the sales and legal teams move faster
Use AI tools as part of your everyday contract workflow — including AI-assisted drafting, redlining, and review — to accelerate turnaround on sales contracts, and surface ideas for where automation could further improve the team's efficiency
Ensure that customer contract terms addressing data usage rights or restrictions are consistent with the rights
Socure has secured under its underlying data-acquisition and vendor agreements, coordinating as needed with the
Senior Corporate Counsel, Data Acquisition & Licensing, the Data Acquisition team, Product Counsel, and Privacy
Job Requirements
JD from an accredited law school and active Bar membership in good standing
4-8 years of post-JD experience independently negotiating SaaS, technology, licensing, partner, and vendor agreements with minimal oversight
Working knowledge of consumer data privacy laws relevant to commercial contracting (e.g., CCPA/CPRA, GLBA, FCRA) and how they shape customer-facing data terms
Law firm, data use/licensing, and fintech experience preferred
Experience with public sector (SLED and/or Federal) sales contracting, such as supporting RFP/RFx responses or government procurement processes, is preferred
Comfort using AI tools (e.g., contract drafting, redlining, or review assistants) as part of your daily workflow; interest in helping the team adopt and refine AI-supported processes is a plus
A drive for continuous improvement, and the willingness to voice your opinion
Ability to independently manage and own multiple projects with varying deadlines; comfortable making decisions
under ambiguous circumstances
A focus on closing deals and finding pragmatic solutions to any issue you encounter
Ability to adapt to change in a fast-paced, dynamic environment
Collaborative partnership and diplomatic communication with multiple constituencies
